Terms of Service

These terms explain how we work together. We've written them to be fair and readable. Your written quote and any signed agreement form part of these terms; if they conflict, the quote or agreement wins.

1. About these terms

These terms are between you and Harnika Design (OPC) Private Limited. By using this website or accepting a quote from us, you agree to them. If you accept on behalf of a business, you confirm you have authority to do so.

2. Our services and quotes

• We provide website design, website and web app development, e-commerce development, SEO, brand identity, AI chatbots and automation, and website care, hosting and security services.
• Every project starts with a written quote describing the scope, deliverables, timeline and price. Quotes are valid for 30 days.
• Work outside the agreed scope is quoted separately before we start it.
• Timelines assume timely feedback, content and access from you. If these are delayed, the timeline moves by the same amount.

3. Your responsibilities

• Provide accurate information, content and timely feedback.
• Make sure you own or have permission to use everything you give us, including text, photos, logos and trademarks.
• Make sure the content of your website, and the way you use it, complies with the law, including consumer, privacy and advertising laws.
• Keep your own account passwords safe, and change any shared passwords when the project ends.

4. Fees and payment

• Prices are in Indian rupees. We are not currently registered for GST, so no GST is charged. If we register in future, GST will be shown separately on quotes and invoices issued from that date. Overseas projects may be quoted in USD.
• Unless your quote says otherwise, projects are paid 50% in advance to start, 30% on design approval and 20% before launch. Monthly plans are billed in advance.
• Third-party costs such as domains, hosting, premium plugins, stock media, payment gateway fees, messaging or AI usage and advertising spend are listed separately and charged at cost or paid by you directly.
• Invoices are due within 7 days. We may pause work on overdue accounts after giving notice.

5. Changes and revisions

Each design stage includes the revision rounds stated in your quote (normally two). Changes after approval, or extra revision rounds, are quoted before we make them so the price never changes by surprise.

6. Ownership and licences

• Your work: on full payment, we assign to you the copyright in the custom designs, code and content we create specifically for your project, and hand over the source files.
• Third-party items: open-source software, fonts, plugins, themes and stock media remain under their own licences, which we tell you about.
• Our tools: we keep ownership of our pre-existing tools, code libraries and know-how, and give you a permanent licence to use any of them included in your website.
• Portfolio: unless you ask us not to in writing, we may show the finished work, your name and logo in our portfolio and marketing.
• Trademarks: Harnika™ and the Harnika Design logos are trademarks of Harnika Design (OPC) Private Limited.

7. Fixes and warranties

We fix, free of charge, any defect where the website doesn't work as agreed, reported within 30 days of launch. This doesn't cover problems caused by changes made by others, third-party services, hosting outside our control, or new browser or platform changes after launch. Except as stated in these terms, services are provided without other warranties to the extent the law allows.

8. No guaranteed results

We do our best work to help you get found and win customers, but no one can guarantee search rankings, traffic, sales or advertising results, which depend on many factors outside our control. We will never promise first place on Google.

9. Third-party services

Websites rely on services such as hosting, domain registrars, payment gateways, WhatsApp, AI providers and analytics. Their terms apply to your use of them, and we're not responsible for their outages, price changes or policy decisions, though we will help you work through them.

10. Limitation of liability

To the extent permitted by law, our total liability for any claim relating to a project is limited to the fees you paid us for that project in the 12 months before the claim, and we are not liable for indirect or consequential losses such as lost profits or data. Nothing in these terms limits liability that cannot be limited by law, including for fraud.

11. Confidentiality

We keep your business information confidential and use it only for your project. We'll sign a separate non-disclosure agreement if you need one.

12. Cancellation and termination

Either of us may end a project or plan by written notice. You pay for work completed up to that point, and we hand over everything produced so far once paid. Details and refunds are covered in our Refund & Cancellation Policy. We may end services immediately if they are used for unlawful purposes.

13. Using this website

The content of this website is provided for general information and may change. Please don't copy our designs, text or imagery without permission, attempt to disrupt the site, or use it for any unlawful purpose. Links to other websites are provided for convenience; we're not responsible for their content.

14. Governing law and disputes

These terms are governed by the laws of India. We'll always try to resolve concerns informally first: please contact us. Subject to any rights you have under consumer protection law, the courts at Erode, Tamil Nadu, India, have jurisdiction.

15. General

Neither of us is responsible for delays caused by events beyond reasonable control. If any part of these terms is found unenforceable, the rest still applies. We may update these terms; the version in force when you accept a quote applies to that project.
